Raising equity capital from the private market is difficult at the best of times. The process is complex, time consuming and the money can take many months to secure; all at a time when the performance of the business should be a priority for management. The competition for capital is also extremely strong and companies need to be very well prepared with documentation, to an acceptable standard, before approaching these investors.

Elixir has completed many fundraising exercises and is able to guide companies through the process, identifying the right venture capital funds and the right individuals for a specific company profile. Elixir acts as a coordinator for the entire fundraising cycle, starting with preparation of the documentation and ending with signatures (and often beyond):

  • Elixir will help the management to prepare an investment memorandum detailing the business, financial forecasts and other elements which an investor requires in order to make an expeditious decision.

  • Elixir will also help the company to build an electronic data room in preparation for any due diligence exercise. Such forward planning is essential for an efficient process.

  • Elixir will help to shape a proposed structure for the financing, which not only reflects the capital need of the business, but also takes the preferences of the investor-base into account.

  • Elixir will make introductions to a sizeable sub-group of potential European investors according to the size of deal, the type of company; the geographical location of the business and its proximity to the investor.

  • Each investor has its own individual process and it is Elixir’s job to understand this and to manage the process to match the investors needs including demands for information and additional meetings.

  • Elixir will help to select preferred backers, negotiate term sheets and build syndicates.

  • Elixir will help investors to conduct whatever additional due diligence it requires before the Securities Purchase Agreement is drawn up, the document is signed and the funds are paid over.
